Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the website newsletter.ultimatetools.pro (the "Site") and the services provided by ZERO1 MEDIA SL, with registered office at C/ Valencia 74, 4-4, 08015 Barcelona, Spain, VAT ESB70826946 ("we", "Ultimate Tools").

By using the Site or booking a sponsorship slot you fully accept these Terms. If you do not accept them, please do not use the Site.

The Site allows you to:

• subscribe to the Ultimate Tools newsletter;
• browse the archive of past editions;
• book and purchase advertising slots ("Sponsorships") inside our newsletter editions.

Subscription is free and only requires a valid email address. By subscribing you agree to receive periodic editorial emails and occasional promotional emails from sponsors. You can unsubscribe at any time using the link at the bottom of every email.

3.1 Process

The advertiser submits the booking form selecting the format, the desired dates and providing their details. A booking is a request: it becomes binding only upon our written confirmation and payment of the amount due.

3.2 Prices and payment

Prices published on the Site are in EUR (or the currency shown at checkout) and exclude VAT, which is applied according to Spanish and EU rules based on the customer's country of establishment:

• Reverse charge for EU business customers with a valid VAT number;
• Spanish VAT at 21% for consumers based in Spain;
• OSS rules for consumers based in other EU countries.

Payments are processed by Stripe Payments Europe Ltd. We accept the major credit and debit cards as well as the local methods supported by Stripe. The invoice is issued within 15 days from payment.

3.3 Delivery of materials

The advertiser commits to providing all materials (copy, logo, banner, links) through the dedicated tool on the Site by the deadline communicated upon confirmation (typically 7 days before the edition send date). Failure to deliver materials on time does not entitle the advertiser to a refund.

3.4 Cancellations, changes and refunds

• Cancellation more than 14 days before the send date: 100% refund, net of non-refundable Stripe transaction fees.
• Cancellation between 14 and 7 days before: 50% refund or free rescheduling to an available date.
• Cancellation less than 7 days before: no refund.
• EU consumers have no 14-day right of withdrawal because the service is supplied with performance started upon express consent (Art. 16.a Dir. 2011/83/EU; Art. 103.a Spanish TRLGDCU).

3.5 Advertiser content

The advertiser warrants that they:

• own or are duly licensed to use all rights in the copy, trademarks and images provided;
• provide truthful, non-misleading content compliant with all applicable laws (consumer protection, advertising rules, GDPR);
• indemnify Ultimate Tools against any third-party claim relating to the content provided.

We reserve the right to reject or suspend content that we deem inconsistent with our editorial line, misleading, offensive or unlawful, with a full refund of any amount already paid.

3.6 Excluded categories

We do not accept sponsorships for: gambling, pornography, high-risk or unregulated crypto, tobacco products, weapons, adult content, pyramid schemes, counterfeit goods.

The Site and the newsletter are provided "as is". While we do our best to ensure continuity and quality, we do not guarantee a minimum number of opens or clicks. To the maximum extent permitted by law, our total liability towards each advertiser is limited to the amount actually paid for the specific Sponsorship in dispute.

Liability for willful misconduct, gross negligence, or mandatory consumer rights remains unaffected.

The "Ultimate Tools" brand, logo, Site design and the editorial content of the newsletter are our property or licensed to us. Reproduction without our prior written consent is forbidden.

Personal data processing is described in our Privacy Policy.

We may update these Terms at any time. The version applicable to your order is the one published on the Site at the moment the order is placed.

These Terms are governed by Spanish law. For disputes with business customers, the exclusive jurisdiction is the courts of Barcelona, Spain. Consumers retain the mandatory jurisdiction of their place of residence and the right to use the European Commission's ODR platform (ec.europa.eu/consumers/odr).
